Terms of Purchase

These terms apply to self-service and directly ordered Y4B products. Read them with the product page, checkout, and scope summary for the service you select.

How these terms become part of an order

These Terms of Purchase apply when a Y4B product page, checkout, order confirmation, or scope summary links to or incorporates them. By purchasing a service or authorizing an order for a business, you confirm that you have authority to bind that business and that it accepts these terms.

The order consists of these terms plus the product description, price shown at checkout, order confirmation, and any scope summary accepted for the work. If Y4B and the customer sign a separate agreement that conflicts with these terms, the signed agreement controls for that engagement.

Free, one-time, and recurring products

The Opportunity Scan is a free qualification and recommendation tool. Its result, planning range, and suggested next step are informational and do not reserve delivery capacity or create a final project scope.

One-time products, such as a paid Diagnostic or a fixed-scope deployment, cover only the deliverables, assumptions, and acceptance criteria shown in the applicable product description or scope summary.

A recurring Embedded FDE service provides remote, prioritized engineering and systems capacity within the service boundaries shown in the order. It is not unlimited labour, a full-time employee, 24/7 support, or an assumption of management authority unless the scope expressly says otherwise.

Scope summary and acceptance criteria

Every paid service should have a written scope summary. For a standardized self-service product, the product page and order confirmation may serve as that summary. For configured work, Y4B may provide a separate summary before implementation begins.

The scope summary identifies the included outcome or deliverables, exclusions, customer inputs, assumptions, target timing or service period, third-party dependencies, and acceptance criteria. Acceptance means the delivered work materially meets those written criteria, not that every later idea or business preference is included.

The customer should review a deliverable promptly and describe any material mismatch with the acceptance criteria. Y4B will correct an in-scope mismatch. New features, changed assumptions, additional systems, or preferences outside the criteria are handled as change requests.

Onboarding and timing

Y4B may collect the information needed to begin immediately after purchase, but delivery timing depends on the product, current capacity, required access, and customer inputs. A target date is an estimate unless the scope expressly makes it a committed milestone.

The service period begins on the date shown in the order or onboarding notice. If the customer delays access, decisions, content, testing, or approvals, milestones may move and reserved recurring capacity may still be billed.

Customer responsibilities

The customer is responsible for the business decisions and operating environment around the work. To let Y4B deliver safely, the customer agrees to:

  • Provide accurate qualification and project information and identify an authorized decision maker.
  • Provide lawful, timely, least-privilege access to the systems, data, people, and documentation needed for the scope.
  • Tell Y4B before work begins about sensitive or regulated data, contractual restrictions, security requirements, or change freezes.
  • Maintain appropriate backups and business-continuity measures unless the scope expressly assigns that work to Y4B.
  • Review tests, deliverables, and approval requests within the agreed timing and make the final decision on consequential actions.
  • Use deliverables lawfully and maintain any customer-controlled accounts, licences, subscriptions, and third-party terms.
Never submit credentials through public forms. Provide access through the secure onboarding method agreed for the engagement.

Prices, payment, and taxes

The price, billing frequency, currency, and any applicable taxes are shown in the checkout or order. When Stripe Checkout is configured, Stripe processes the payment and stores payment details under its own terms. Y4B receives the payment status and order information needed to deliver and administer the service.

One-time products are charged when ordered unless the checkout states a deposit or schedule. Recurring products are charged at the interval shown in the order. By starting a recurring purchase, the customer authorizes the payment method to be charged until the service is cancelled in accordance with these terms.

If payment fails or becomes overdue, Y4B may notify the customer, pause work or access, and adjust delivery timing until the account is current. A pause does not expand the purchased scope or remove amounts already due.

Three-month minimum for Embedded FDE and FDE Pod

Embedded FDE and FDE Pod services have an initial minimum commitment of three full service months unless the order gives the customer a longer term. The minimum exists because onboarding, environment setup, operating context, and the first delivery cycle are part of the service.

After the minimum, the service continues on the billing interval shown in the order until cancelled. A cancellation request received before the next renewal takes effect at the end of the current paid service period, but never before the three-month minimum is complete. The customer can request cancellation through the account workflow, when available, or by emailing hello@y4b.com.

Cancellations and refunds

A customer may request cancellation of a one-time product before Y4B begins the work. Any approved refund may exclude an unavoidable third-party charge that was disclosed and incurred specifically for the order. Once work begins, one-time fees are non-refundable except for an undelivered portion Y4B agrees it cannot complete or where applicable law requires otherwise.

Payments for a completed recurring service period and the three-month Embedded FDE or FDE Pod minimum are non-refundable. Cancelling stops future renewals after the applicable commitment and paid service period; it does not reverse work already performed or capacity already reserved.

If Y4B ends a prepaid service without customer breach and cannot provide the remaining purchased service, Y4B will refund the unused prepaid portion. Questions about an unexpected charge or delivery issue should be sent promptly to hello@y4b.com so the parties can review the order record and work completed.

Change requests

Either party may identify a useful change, but a material change is not included until it is documented and accepted. Y4B may describe the effect on price, timing, capacity, risks, dependencies, and acceptance criteria in a change summary or a new order.

Y4B may pause the affected work while a change is being decided. Work that can safely continue within the original scope may continue. An automated estimate or chat message does not amend an order unless the authorized parties accept it as a change.

Approvals and production authority

Purchasing a service authorizes Y4B to perform the bounded work in its scope. It does not provide blanket authority over the customer’s systems or business.

Production deployment, deletion, bulk record changes, permission changes, billing actions, external communications, and other consequential actions require customer approval unless the scope contains a specific pre-approved operating rule. Y4B may refuse or pause an instruction that appears unlawful, unsafe, outside the agreed authority, or likely to cause material harm.

Third-party services and usage fees

Many solutions depend on customer software, cloud infrastructure, APIs, AI models, email, messaging, payment, or other third-party services. Unless the order expressly includes them, licences, subscriptions, usage fees, taxes, overages, and provider support are the customer’s responsibility.

Y4B will not intentionally create a new paid third-party commitment in the customer’s name without authorization. A customer-approved provider change, price increase, usage increase, deprecation, outage, or policy change may require a revised approach, timeline, or fee.

Customer materials, deliverables, and reusable materials

The customer keeps ownership of its accounts, data, brand materials, processes, content, code, and other materials supplied to Y4B. The customer gives Y4B permission to use those materials only as reasonably needed to deliver and support the service.

After full payment, the customer owns bespoke deliverables that the scope identifies as created specifically for the customer. This does not transfer Y4B’s pre-existing tools, templates, libraries, methods, generalized know-how, or improvements that do not disclose customer confidential information. Y4B grants the customer a continuing licence to use any such Y4B material embedded in a paid deliverable as needed to use that deliverable for its business.

Third-party and open-source components remain subject to their own licences. Where practical, source code and deployed assets are delivered into customer-controlled repositories and accounts, with the agreed documentation and handoff materials.

Confidentiality

Each party will use reasonable care to protect the other party’s non-public business, technical, security, financial, and customer information and will use it only for the engagement. Access may be given to personnel or service providers who need it for the work and are expected to protect it.

Confidentiality does not cover information that was already lawfully known without restriction, becomes public without a breach, is received lawfully from another source, or is independently developed. A party may disclose information when legally required, and should give notice when legally permitted.

Y4B will not identify the customer publicly or publish a logo, testimonial, detailed result, or case study without permission.

Service limitations and business outcomes

Y4B provides remote engineering, systems, and implementation services with reasonable care based on the information, access, and constraints available. Unless the scope says otherwise, the service does not include legal, tax, accounting, employment, managed-security, or emergency incident-response advice.

Software, APIs, AI outputs, data, and third-party platforms can be incomplete, unavailable, or change without notice. Y4B does not promise that a system will be uninterrupted or error-free and may recommend human review, monitoring, rollback, or additional specialist review where the risk warrants it.

Y4B cannot guarantee increased sales, cost savings, efficiency gains, funding, compliance, user adoption, or any other business outcome. Results depend on customer decisions, data, implementation, team participation, market conditions, and third parties outside Y4B’s control.

To the extent permitted by applicable law, Y4B is not responsible for indirect or consequential losses caused by a third-party outage, unauthorized customer change, use outside the documented purpose, withheld information, or a decision made contrary to a documented warning. Nothing in these terms excludes a right or responsibility that cannot legally be excluded.

Suspension and ending an engagement

Either party may end a service as allowed by the order and these terms. Y4B may suspend or end work for non-payment, unlawful or unsafe instructions, abusive conduct, material breach, or loss of access needed to deliver. Where practical, Y4B will explain the issue and allow a reasonable opportunity to fix it before ending the service.

Ending a service does not remove payment obligations for work performed, reserved minimum commitments, approved third-party costs, or other amounts already due. Y4B will provide the handoff included in the scope and cooperate on access revocation and transfer of paid deliverables.

Questions, disagreements, and updates

If a disagreement arises, the parties should first compare the order, scope summary, acceptance criteria, approvals, and delivery record and try to resolve the issue in good faith. Questions or notices can be sent to hello@y4b.com and to the customer contact on the order.

Y4B may update these terms for future purchases by publishing a new effective date. An update does not change an existing fixed order or minimum commitment unless the customer accepts the change or applicable law requires it.
